AfricanComplex — Acceptable Use Policy

THIS ACCEPTABLE USE POLICY ("Policy") governs your conduct while using the AfricanComplex platform and OrbitApex delivery service (the "Services"), operated by AfricanComplex Holdings LLC, an Indiana limited liability company. This Policy applies to all users — Customers, Merchants, Drivers, and Support Agents — and is incorporated into, and supplements, the Terms of Service, Merchant Agreement, Driver Independent Contractor Agreement, and Support Agent Independent Contractor Agreement, as applicable to your role. Violation of this Policy may result in content removal, warning, suspension, or termination of your account, as described in Section 10.
1. Who This Policy Applies To
This Policy applies to everyone who accesses or uses the Services, in every role the Platform supports: Customers placing orders; Merchants selling through the marketplace; Drivers performing deliveries through OrbitApex; and Support Agents providing customer support. Where a rule in this Policy applies only to a specific role, that is stated explicitly; otherwise, a rule applies to all users.
2. Definitions
Capitalized terms used in this Policy have the following meanings, in addition to any meaning given to them in the Terms of Service:

| Platform | The AfricanComplex marketplace and OrbitApex delivery service, including the website, mobile applications, and admin dashboard. |
| Services | The Platform, as defined in the Terms of Service. |
| User | Any Customer, Merchant, Driver, or Support Agent who accesses or uses the Services. |
3. General Conduct
Regardless of your role, you agree not to:
- Use the Services for any unlawful purpose, or to facilitate, promote, or engage in illegal activity;
- Provide false, misleading, or fraudulent information to AfricanComplex, another user, or a third party in connection with the Services;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Harass, threaten, abuse, or discriminate against any other user, on any basis prohibited by applicable federal or Indiana law;
- Interfere with, disrupt, or place an unreasonable load on the Services, including their servers or networks;
- Attempt to gain unauthorized access to any account, system, or data that is not your own;
- Circumvent, disable, or otherwise interfere with any security-related feature of the Services;
- Introduce any virus, malware, or other harmful code into the Services;
- Scrape, crawl, harvest, or otherwise extract data from the Services using automated means, without AfricanComplex's prior written consent;
- Reverse-engineer, decompile, or disassemble any part of the Services, except to the extent such restriction is prohibited by applicable law;
- Use the Services to infringe any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right;
- Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.
4. Content Standards
Content you submit to the Platform — including product listings, images, store descriptions, reviews, profile information, and support-ticket communications — must not:
- Be false, deceptive, or misleading;
- Infringe any third party's intellectual property or privacy rights;
- Contain hate speech, or content that promotes violence or discrimination against any individual or group;
- Contain sexually explicit material;
- Contain content that exploits or endangers minors;
- Contain unauthorized advertising, promotional material, spam, or solicitations unrelated to a legitimate transaction on the Platform;
- Misrepresent a product's condition, contents, origin, or compliance with applicable safety or labeling requirements.
AfricanComplex may remove any content that violates this Policy, without prior notice.
5. Copyright — Reporting and Counter-Notice Procedure
AfricanComplex respects intellectual property rights and responds to notices of alleged copyright infringement in Content posted to the Platform, consistent with the notice-and-takedown procedure of the Digital Millennium Copyright Act, 17 U.S.C. § 512.
5.1 Filing a Notice
If you believe Content on the Platform infringes your copyright, send a written notice to [email protected] that includes:
- A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the Content you claim is infringing, and information reasonably sufficient for AfricanComplex to locate it on the Platform;
- Your contact information (address, telephone number, and email address);
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
5.2 Counter-Notice
If your Content was removed in response to a notice under Section 5.1 and you believe it was removed in error, you may submit a counter-notice to [email protected] that includes your identification of the removed Content, a statement under penalty of perjury that you have a good-faith belief the Content was removed as a result of mistake or misidentification, your contact information, and a statement consenting to the jurisdiction of the federal district court for the district in which your address is located (or, if outside the United States, for any district in which AfricanComplex may be found), and that you will accept service of process from the person who filed the original notice.
5.3 Repeat Infringers
AfricanComplex will terminate the account of a user determined, in AfricanComplex's reasonable discretion, to be a repeat infringer.
6. Prohibited and Restricted Goods (Merchants)
In addition to the product standards in the Merchant Agreement, Merchants may not list or sell, through the Platform:
- Illegal drugs or controlled substances, and drug paraphernalia marketed for illegal drug use;
- Alcohol or tobacco products, unless the Merchant holds and maintains all licenses required by Indiana law and has been expressly approved by AfricanComplex to sell that category;
- Firearms, ammunition, explosives, or other weapons;
- Counterfeit, stolen, or unauthorized-replica goods;
- Prescription medications or medical devices without the licenses and authorizations required by applicable law;
- Products subject to a government recall;
- Live animals, except as separately authorized by AfricanComplex in writing;
- Any product prohibited by federal law or Indiana law from sale to the general public.
A Merchant that lists a category above without the required license and AfricanComplex's express written approval is subject to immediate suspension under Section 10, in addition to the remedies available to AfricanComplex under the Merchant Agreement.
7. Payment and Financial Conduct
You agree not to:
- Use the Services to launder money or finance any unlawful activity;
- Circumvent, or attempt to circumvent, AfricanComplex's payment processing, fees, or commission structure — for example, by arranging an off-platform payment for an order initiated on the Platform in order to avoid the applicable commission or service fee;
- Submit a fraudulent refund, chargeback, or dispute claim;
- Use another person's payment method, Wallet, or account without authorization;
- Manipulate or attempt to manipulate the Wallet, promotional credit, or referral system described in the Wallet Terms, including through the creation of fraudulent or duplicate accounts to obtain rewards or referral credit.
8. Platform Integrity
You agree not to:
- Submit a fraudulent, coerced, or retaliatory rating or review, or offer or accept compensation in exchange for a rating or review;
- Create or operate multiple accounts to evade a suspension, deactivation, or restriction placed on another account;
- Coordinate with other users to manipulate order volume, pricing, ratings, or dispatch behavior on the Platform;
- Use bots, scripts, or other automated tools to place orders, accept deliveries, or interact with the Platform in a manner inconsistent with genuine, individual human use.
9. Role-Specific Conduct
9.1 Drivers
In addition to the requirements of the Driver Independent Contractor Agreement, Drivers may not: tamper with, open, or consume any portion of an order; operate a vehicle in a condition that endangers passengers, pedestrians, or other drivers; or use the Platform while impaired by alcohol or any substance that impairs safe operation of a vehicle.
9.2 Merchants
In addition to the requirements of the Merchant Agreement, Merchants may not misrepresent their business's licensing status, health-permit status, or food-safety compliance, or knowingly allow expired or unsafe inventory to remain available for sale in violation of the Merchant Agreement's product-expiration provisions.
9.3 Support Agents
In addition to the requirements of the Support Agent Independent Contractor Agreement, Support Agents may not access, disclose, or use any user's data beyond what is necessary to resolve an assigned support ticket, or exceed the authority limits described in the Support Agent Independent Contractor Agreement §3.2.
10. Enforcement
10.1 Available Actions
If AfricanComplex determines, in its reasonable discretion, that you have violated this Policy, AfricanComplex may take any action it deems appropriate, including: removing or disabling access to the violating content; issuing a warning; suspending your account on a temporary basis; permanently deactivating your account; withholding or reversing a payment or payout connected to the violation; and, where the violation may involve unlawful conduct, reporting the matter to law enforcement or another appropriate authority.
10.2 Relationship to Role-Specific Agreements
Enforcement under this Policy is in addition to, and does not limit, AfricanComplex's rights under the Terms of Service, Merchant Agreement, Driver Independent Contractor Agreement, or Support Agent Independent Contractor Agreement, as applicable to your role, including the specific suspension and deactivation provisions in each of those documents.
10.3 Appeal
If your account is suspended or deactivated for a violation of this Policy, you may appeal by contacting support through the channel described in Section 11. AfricanComplex will review the appeal and respond within a reasonable time, but is not obligated to reverse an enforcement action.
11. Reporting a Violation
If you believe another user has violated this Policy, report it to AfricanComplex at [email protected] or through the in-app support channel, including as much detail as possible (the user or order involved, the nature of the violation, and any supporting evidence such as screenshots or photos).
12. Changes to This Policy
AfricanComplex may update this Policy from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect, consistent with the modification provisions of the Terms of Service. Your continued use of the Services after the effective date of an update constitutes acceptance of the updated Policy.
